Terms of Service

1. Account & Eligibility

• You must be at least 18 years old and have the authority to bind the company or client you represent.
• You must provide accurate information and keep your credentials secure. You are responsible for activity under your account.
• We may refuse, suspend, or terminate accounts for any reason, including breach of these Terms.

2. Plans, Billing & Taxes

• Plans: Starter (Free), Professional (currently €199/month), Enterprise (currently €499/month). Features and prices may change.
• Billing: Paid plans renew automatically each billing period unless cancelled before renewal.
• Payments: Fees are due in advance and, unless required by law, are non-refundable. Applicable taxes (incl. VAT where relevant) are additional.
• Cancellations: You may cancel anytime; access continues until the end of the current period.

3. Acceptable Use

• Do not misuse the Services or interfere with their normal operation.
• Do not upload illegal content, malware, or content that infringes third-party rights.
• Do not attempt to reverse engineer, scrape at scale, or circumvent limits or quotas.
• Respect all applicable advertising, privacy, and IP laws when using insights derived from competitor materials.

4. User Content & Permissions

• Your uploads: You represent you have all rights needed to upload and analyze ads, assets, or data (“User Content”).
• License to us: You grant Adalyse a worldwide, non-exclusive license to host, process, analyze, and display your User Content as needed to provide the Services to you.
• Confidentiality: We treat your non-public User Content as confidential per our Privacy Policy and any applicable data processing terms.
• Training: We do not use your private User Content to train our models without your explicit consent.

5. Competitor Content & Third-Party Materials

• The platform may display information about third-party advertisements collected from publicly available sources or provided by you.
• Such materials remain the property of their respective owners; they are shown for research, analysis, and comparison purposes.
• You must not re-publish or exploit third-party creatives beyond what is allowed by law or the rights holder.

6. AI Features & Limitations

• AI-generated insights, scores, and predictions are probabilistic and provided for informational purposes only.
• You are responsible for how you use insights in campaigns and for compliance with platform policies (e.g., Meta, Google) and applicable laws.
• We may use third-party AI providers (e.g., OpenAI, Google) to process data as described in the Privacy Policy.

7. Intellectual Property

• Adalyse, the Services, and all related software, databases, and content (excluding User Content and third-party ads) are owned by us or our licensors and are protected by IP laws.
• We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription, subject to these Terms.

8. API & Fair Use

• API access (where available) is subject to separate documentation, quotas, and rate limits.
• We may throttle or suspend access to protect platform stability.

9. Confidentiality & Security

• Each party may access the other’s confidential information solely to perform under these Terms and must protect it using reasonable safeguards.
• We implement technical and organizational measures to protect data; however, no system is perfectly secure.

10. Privacy & Data Protection

Your use of the Services is subject to our Privacy Policy. Where required, a Data Processing Addendum (DPA) is available upon request.

11. Warranties & Disclaimers

• THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.
• Insights and data may be incomplete or inaccurate; you rely on them at your own risk.

12. Limitation of Liability

• To the maximum extent permitted by law, in no event will Adalyse be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues.
• Our total liability for any claim arising out of or relating to the Services will not exceed the amounts paid by you to Adalyse in the 12 months preceding the event giving rise to the claim.

13. Term & Termination

• These Terms apply while you use the Services. We may suspend or terminate access for breach or to prevent harm.
• Upon termination, your license ends and we may delete your account data in accordance with our retention policies.

14. Changes to the Services or Terms

• We may update the Services and these Terms from time to time. Material changes will be notified via the Service or email.
• Continued use after changes become effective constitutes acceptance.

15. Governing Law & Disputes

• These Terms are governed by the laws of Romania (EU), without regard to conflict of laws rules.
• Courts of Bucharest, Romania shall have exclusive jurisdiction, except where applicable law provides otherwise.
